HORB Technology Enterprise User Registration Agreement

I. Confirmation and Acceptance of Service Terms

(1) HORB websites (referring to the relevant websites and client applications legally owned and operated by Shenzhen HORB Technology Co., Ltd. and its affiliates, hereinafter referred to as "this Website," "HORB Platform," or "the Platform") and all electronic services are owned and operated by "HORB." The services provided by this Website shall strictly comply with the published service terms and operational rules. **By confirming all service terms and completing the registration process, this Agreement becomes legally binding between you and the Platform, and you hereby become an official user of the Platform.

(2) The operating entity of HORB Platform may change or expand due to business adjustments. You may check the license information displayed at the bottom of each HORB Platform website to identify the relevant HORB entity responsible for fulfilling obligations to you.

(3) The HORB Platform Privacy Policy, Platform Rules, and separate agreements constitute supplementary agreements to this Agreement, forming an integral part hereof and having equal legal effect. By using HORB Platform services, you agree to the aforementioned supplementary agreements.

(4) When using specific services on this Website, such services may have separate agreements or rules (collectively, "Separate Agreements"). You must read and agree to the relevant Separate Agreements before using such services. Your use of such services constitutes your acceptance of the Separate Agreements.

(5) HORB reserves the right to amend this Agreement and related rules as necessary due to changes in laws or operational requirements. Revised terms shall take effect after being publicly announced and shall replace previous versions. **You must regularly review updates to announcements, notices, agreements, and rules on the Platform. You agree to comply with the latest versions of agreements and Platform Rules (e.g., rules for handling orders, behaviors, and account penalties), which can be accessed or downloaded under "Customer Service" > "Help Center" on the HORB homepage. If you disagree with any updates, you must immediately cease using the Platform. Continued use constitutes acceptance of the revised terms.

(6) Unless otherwise explicitly stated in writing, HORB makes no warranties, express or implied, regarding the operation of this Website or the information, content, materials, products (including software), or services contained herein (except as required by Chinese law).

II. Service Guidelines**

(2) **Mobile Client Software Acquisition and Updates:

1. You may download HORB’s mobile client software directly from HORB’s website or authorized third parties. **If obtained from unauthorized sources, HORB cannot guarantee functionality and disclaims liability for losses.

2. HORB may update software to improve services. Older versions may become obsolete, and HORB does not guarantee continued support. Always download the latest version.

III. Account Registration, Management, and Use*

(1) User Eligibility You confirm that you possess the legal capacity under Chinese law to register and use HORB Platform services.

2. **If HORB determines your account registration or usage violates rules, HORB may freeze, cancel accounts, cancel orders, or deny services. You shall compensate for losses caused to HORB.

3. Provide accurate and complete information (e.g., name, email, contact details) for HORB or third parties to contact you. Maintain the authenticity and validity of such information.

(3) **Account Login**

You may log in using your account name, mobile number, password, or authorized third-party accounts (e.g., WeChat, QQ). Use of third-party accounts is subject to their respective terms.

(4) Real-Name Authentication

To enhance security and service quality, HORB may require **enterprise real-name authentication** per applicable laws.

(5) Updates and Maintenance

1. Promptly update changes to your information (e.g., administrator contact details). Failure to do so may result in loss of rights.

2. HORB may verify your information as legally required. Cooperate by providing updated, truthful, and complete data.

3. If HORB cannot contact you using your latest information, or if your information is invalid, HORB may suspend or terminate services. You bear all resulting losses.

(6) Account Management

1. Your account is for your use only. Unauthorized transfers are prohibited. HORB may terminate services for security risks.

2. Safeguard your account credentials. HORB will never request your password. Log out properly after each session.

3. HORB is not liable for losses due to your negligence (e.g., leaks, hacking). Notify HORB immediately of unauthorized access. HORB’s response may require reasonable time and may not prevent all damages.

4. Inactive accounts (no login for 12 months) may be reclaimed after prior notice. Personalized settings (e.g., avatars) will be lost.

(7) Account Cancellation

To cancel your account:

1. Follow the HORB Enterprise Account Cancellation Guidelines

2. You remain liable for pre-cancellation actions.

Note: Cancellation forfeits account assets (e.g., balances, coupons) and HORB cannot restore them.

IV. HORB Platform Services

You may use the Platform for product/service browsing, purchasing, delivery, dispute resolution, and communication.

(1) Product/Service Browsing

Use Platform features like categorization, search, filters, and wishlists to explore items.

(2) Purchasing and Reviews

1. Verify order details (e.g., product name, price, quantity, delivery address). **You are jointly liable for the recipient’s actions.

2. Purchases must comply with laws. Malicious orders or abuse may result in order cancellation or account penalties.

3. Product listings are invitations to offer. Orders are contractual offers. Contracts are formed upon seller shipment.

4. Sellers may cancel orders due to stock/price errors. Refunds will be issued for paid orders.

5. The Platform may intercept risky/fraudulent orders and issue refunds.

6. Post reviews lawfully and objectively. Prohibited content includes defamation, obscenity, or illegal material. HORB may remove reviews.

(3) Delivery

Deliveries are sent to your specified address. Estimated delivery times are not guaranteed. Ensure accurate recipient details. HORB is not liable for delays caused by Incorrect address/user information;

2. Failed delivery attempts (e.g., refusal, no recipient);

3. Force majeure (e.g., natural disasters, government actions);

4. Third-party logistics partners (e.g., SF Express). Delivery time is logged upon recipient

5. Inspect goods upon delivery. Report quality issues promptly.

(4) Payment and Invoicing

1. Select payment methods as prompted.

2. Provide accurate invoicing/payment details. Mismatches may result in losses.

(5) Platform Activities

Read activity rules before participating. Violations may lead to order cancellation or penalties.

(6) Dispute Resolution

Resolve disputes via:

1. Negotiation;

2. Platform customer service;

3. Government complaints;

4. Arbitration (if agreed);

5. Litigation.

HORB are not professionals. HORB is not liable for dispute outcomes unless due to gross negligence.

(7) **Communication and Sharing

Use Platform features (e.g., Q&A, reviews, groups) lawfully. Ensure all shared content complies with laws and this Agreement.

V. Personal Information Protection and Authorization

(1) HORB collects necessary information (e.g., name, address, contacts) to provide services. **Your data is encrypted and not disclosed to third parties without consent, except as required by law.

(2) You Agree:

1. Receive promotional messages via email/SMS. **Opt-out is available.

2. HORB may disclose information to authorities per legal requirements.

3. Certain device functions (e.g., location, camera) require your consent.

4. HORB sets data retention periods and storage limits.

VI. User Conduct

(1) Comply with Laws

1. Prohibited Content

- Anti-constitutional, national security threats;

- Ethnic hatred, religious discrimination;

- Obscenity, violence, defamation;

- Other illegal material.

2. Prohibited Activities

- Money laundering, fraud, data theft;

- Spam, harassment, impersonation;

- Exploiting Platform vulnerabilities;

- Unauthorized resale of Platform goods.

(2) Account Responsibility

You are liable for all account activities. HORB may delete content and penalize accounts.

(3) Intellectual Property

Do not reverse-engineer, copy, or misuse Platform software/content.

(4) Bulk Orders:

Canceling bulk/custom orders after seller preparation incurs liability for losses.

VII. Liability for Breach

(1) Breach Includes

1. Legal violations;

2. Violating this Agreement;

3. Abnormal activities per Platform rules.

(2) Penalties

HORB may delete content, restrict accounts, or terminate services.

(3) Compensation:

You indemnify HORB for losses (direct/indirect) caused by your breach.

VIII. Termination

(1) Termination Rights

You may terminate by canceling your account or ceasing use. HORB may terminate for breaches.

(2) Post-Termination

1. HORB retains necessary information;

2. Breach liabilities remain enforceable;

3. Outstanding orders may proceed at the counterparty’s discretion.

IX. Ownership and Intellectual Property

(1) Content License

By accepting this Agreement, you grant HORB a perpetual, global, irrevocable license to use content (text, images, videos) you submit, including modification, distribution, and legal enforcement rights.

(2) Sub-Licensing: HORB may sublicense these rights.

(3) Third-Party Rights: Ensure your content does not infringe others’ rights. HORB may remove infringing material.

(4) Copyright Compliance：This Agreement constitutes a written copyright license under Chinese law.

(5) Restrictions:

Do not republish Platform content elsewhere without permission.

X. Notices

(1) Valid Addresses:

Your registered contact details are deemed valid. Update changes promptly.

(2) Delivery Methods:

Electronic notices (e.g., emails, SMS) are effective upon sending. Physical notices are deemed delivered five days after mailing.

(3) Legal Documents:

Authorities may serve legal documents via your registered contacts.

XI. Force Majeure and Disclaimer

(1) Force Majeure:

HORB is not liable for service interruptions caused by unforeseeable events (e.g., natural disasters, wars, system failures).

(2) Exclusions:

HORB disclaims liability for interruptions due to:

1. Viruses/hacking;

2. System/device failures;

3. User errors;

4. Unauthorized access.

XII. Governing Law and Miscellaneous

(1) **Governing Law:

This Agreement is governed by Chinese law. Disputes shall be resolved in Bao'an District, Shenzhen.

(2) **Severability:

If any clause is invalid, the remainder remains enforceable.

(3) **Reserved Rights:

Unspecified rights are reserved by HORB.
